1. Acceptance of Terms

Welcome to Mix Lab AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Mix Lab AI ("we", "us", or "our") governing your access to and use of our website, formulation platform, mobile and tablet applications, application programming interfaces (APIs), and all related services, features, and content (collectively, the "Service").

By creating an account, accessing, or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" will include that organization.

If you do not agree to these Terms, you must not access or use the Service. We may modify these Terms from time to time as described in Section 12; your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of the Service

Mix Lab AI provides an AI-powered formulation platform designed for research and development teams, formulators, and production personnel across multiple industries, including but not limited to cosmetics and beauty, nutraceuticals, cannabis, food and beverage, cleaning and industrial products, paints and coatings, flavor, adhesives, pharma CDMO, and related sectors.

The Service includes, without limitation: creation and management of formulations, ingredient lists, and product data; parsing and structuring of INCI and other ingredient nomenclature; regulatory validation and compliance checking against frameworks such as Health Canada, FDA, AAFCO, IFRA, Ecocert, COSMOS, and others; benchmark analysis based on product URLs or ingredient lists; supplier pricing and formulation costing; iteration and version tracking; test results and quality documentation; production and batch tracking; inventory-related features; research and Q&A tools powered by AI; and mobile and tablet applications for use in lab and production environments. The exact set of features available to you may depend on your plan, industry selection, and region.

We strive to keep the Service available and accurate but do not guarantee uninterrupted access or that any particular feature will remain available. We may add, change, suspend, or discontinue features or the Service in whole or in part, with or without notice, at our sole discretion. We will use reasonable efforts to notify you of material changes that adversely affect your use of the Service.

3. Account Registration, Eligibility, and Security

Eligibility. You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

Registration. To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and complete. You may be required to verify your email address or complete additional steps to activate your account.

Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your credentials or from unauthorized use of your account.

One account per user. Unless we expressly permit otherwise (e.g. for team or enterprise plans), each user may maintain only one account. You may not share your account with others or allow others to access the Service using your credentials.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws and regulations. You agree not to:

Use the Service in any way that violates any applicable federal, state, local, or international law or regulation, or that infringes or misappropriates the intellectual property, privacy, or other rights of any third party.
Use the Service to develop, manufacture, or support products or activities that are illegal, harmful, or that could result in liability for us or our users (e.g. certain controlled substances where prohibited, counterfeit goods, or products that violate safety or labeling laws).
Attempt to gain unauthorized access to the Service, other users' accounts, or our or our providers' systems or networks; interfere with or disrupt the integrity or performance of the Service; or circumvent any security, access control, or usage limits.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying ideas of the Service (except to the extent permitted by applicable law); scrape, crawl, or use automated means to access or collect data from the Service without our prior written consent; or use the Service to build a competing product or service.
Transmit any malware, viruses, or other harmful code; use the Service to send spam or unsolicited communications; or use the Service in a manner that could damage, disable, or overburden our infrastructure.
Misrepresent your identity or affiliation; impersonate any person or entity; or use the Service to harass, abuse, defame, or harm others.

We reserve the right to investigate suspected violations of these Terms and to take appropriate action, including suspending or terminating your account, removing content, and reporting to law enforcement. We may also suspend or terminate your access immediately if we believe your use poses a security or legal risk.

5. Your Content; Licenses; and Representations

Your content. "Content" means any formulations, ingredient lists, test results, notes, files, and other data or materials you submit, upload, or create through the Service. You retain all ownership rights in your Content. We do not claim ownership of your Content.

License to us. To operate and provide the Service, we need the right to use your Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers), and transferable license to use, reproduce, store, process, modify, display, and create derivative works of your Content solely to provide, operate, improve, and secure the Service and to comply with law. This includes, for example, storing your formulations, running regulatory checks, backing up data, and improving our parsing and AI features in accordance with our Privacy Policy. We will not use your Content for marketing or for training third-party AI models in a way that identifies you or your business.

Representations. You represent and warrant that you own or have the necessary rights to submit your Content and to grant the license above, and that your Content does not infringe, misappropriate, or violate any third party's intellectual property, privacy, or other rights or any applicable law. You are solely responsible for the accuracy, legality, and appropriateness of your Content. We are not responsible for any Content you or other users submit.

Feedback. If you provide us with feedback, ideas, or suggestions regarding the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.

6. Intellectual Property

The Service, including but not limited to the software, design, text, graphics, logos, and other content we provide (other than your Content), is owned by Mix Lab AI or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works based on the Service or our branding without our prior written consent. You may use the Service only as permitted by these Terms. Any unauthorized use may result in termination of your access and legal action.

7. Payment, Billing, and Refunds

Fees. If you subscribe to a paid plan, you agree to pay all fees associated with your plan in accordance with the pricing in effect at the time of signup or renewal. Fees may be billed monthly or annually as selected. You authorize us to charge your chosen payment method on a recurring basis until you cancel. All fees are in the currency indicated at the time of purchase and are exclusive of applicable taxes unless stated otherwise; you are responsible for any sales, use, or similar taxes.

Changes to pricing. We may change our pricing with reasonable notice. Price changes will apply at the start of your next billing cycle. Your continued use of the paid Service after the change constitutes acceptance of the new pricing. If you do not agree, you may cancel before the change takes effect.

Refunds. Fees are generally non-refundable. We may, at our discretion, provide a refund or credit in cases of billing errors, service failures, or as required by law. Refund requests should be sent to billing@mixlabai.com or through your account settings.

Free trials and promotions. We may offer free trials or promotional pricing. Unless otherwise stated, standard billing will begin at the end of the trial or promotion. You may cancel before the end of the trial to avoid charges.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

REGULATORY, COMPLIANCE, AND AI-GENERATED CONTENT (INCLUDING PARSING, VALIDATION, RESEARCH, AND BENCHMARK OUTPUT) IS FOR INFORMATIONAL AND SUPPORT PURPOSES ONLY. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR SUITABILITY OF SUCH CONTENT FOR YOUR SPECIFIC PRODUCTS, MARKETS, OR REGULATORY OBLIGATIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ALL REGULATORY AND COMPLIANCE REQUIREMENTS AND FOR THE SUITABILITY AND SAFETY OF YOUR FORMULATIONS AND PRODUCTS. YOU SHOULD CONSULT QUALIFIED LEGAL, REGULATORY, OR TECHNICAL ADVISORS AS APPROPRIATE. WE ARE NOT LIABLE FOR ANY DECISIONS OR ACTIONS YOU TAKE BASED ON THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MIX LAB AI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Mix Lab AI and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your Content, (c) your violation of these Terms or any applicable law, or (d) your violation of any third party's rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense, and you agree to cooperate with our defense.

11. Termination and Effect

Termination by you. You may cancel your account at any time through the account settings or by contacting us. Cancellation will take effect at the end of your current billing period unless you request immediate termination. Upon cancellation, your right to use the Service ceases.

Termination by us. We may suspend or terminate your access to the Service immediately, with or without notice, for any reason, including if we believe you have violated these Terms, for non-payment, or to protect the Service or other users. We may also discontinue the Service or your access as described in Section 2.

Effect of termination. Upon termination, your right to access and use the Service ends. We may retain or delete your Content and data in accordance with our Privacy Policy and data retention practices. Sections that by their nature should survive (including Sections 5–6, 8–10, and 12) will survive termination.

12. General Provisions

Governing law. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, and you consent to personal jurisdiction therein.

Modifications. We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms in the Service and updating the "Last updated" date; we may also notify you by email or in-app message. Your continued use of the Service after the effective date of the changes constitutes your acceptance of the modified Terms. If you do not agree, you must stop using the Service.

Entire agreement. These Terms, together with the Privacy Policy and any other policies or guidelines we publish in the Service, constitute the entire agreement between you and Mix Lab AI regarding the Service and supersede any prior agreements or communications.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
